These Terms and Conditions ("Terms") govern your use of Synclo, a Human Resource Management System ("HRMS") developed by [Your Company Name]. By accessing or using Synclo, you agree to be bound by these Terms. These Terms form a legally binding agreement between you (the Client) and Synclo (the Service Provider). Please read them carefully.

1. Definitions

  • Synclo: Refers to the HRMS platform, including web and mobile applications, dashboards, APIs, modules, tools, and any associated services offered by [Your Company Name].
  • User/You/Your: Refers to the organization that has subscribed to Synclo and its authorized users, including HR administrators, managers, and employees.
  • Employees: Refers to individuals whose data is added or managed within the Synclo system by the subscribing organization.
  • Agreement: Refers to these Terms & Conditions, Privacy Policy, and any custom Service Level Agreements (SLAs) signed between Synclo and the Client.

2. Account Registration and Access

To use Synclo, your organization must create an account by submitting valid business details and agreeing to the Terms. You will be required to designate at least one admin user who will have access to company-wide settings and controls.

  • You must ensure all submitted details are accurate and updated regularly.
  • Admins may invite other users with specific roles (HR, Finance, Department Heads, etc.).
  • You are responsible for managing user permissions, resetting passwords, and ensuring only authorized individuals have access.
  • Unauthorized access or suspicious activity should be reported immediately to Synclo support.

We do not access your employee data for any reason other than to provide you the services requested or for technical support purposes — and only under strict access control.

3. Use of the Platform

Synclo may only be used for lawful HR management purposes related to your internal workforce operations. Acceptable uses include:

  • Creating employee records, managing attendance, processing payroll, and tracking leaves and benefits.
  • Setting up departments, locations, policies, job roles, and performance review cycles.
  • Generating internal HR reports or fulfilling audit/compliance requirements.

You agree not to:

  • Use Synclo to store or distribute malicious, unlawful, or discriminatory content.
  • Share platform access with unauthorized third parties.
  • Bypass or tamper with security measures.
  • Use bots or scripts to scrape, extract, or flood the system.

4. Data Ownership and Responsibilities

All data you enter into Synclo, including employee details, documents, policies, and salary structures, remains your sole property. You are the Data Controller, and Synclo acts only as a Data Processor.

  • Synclo will not use, analyze, or access your employee data for any purpose other than platform functionality and support.
  • You are solely responsible for the legality of data input, particularly regarding consent from employees under data protection laws.
  • You must ensure that data shared with Synclo does not violate any third-party rights or applicable labor laws.

5. Subscription, Billing, and Payment

Synclo operates under a subscription-based pricing model. Depending on your selected plan, you will be charged monthly or annually.

  • All subscription charges must be paid in advance. Invoices will be generated automatically or manually as per your account settings.
  • Late or failed payments may result in limited access or suspension of services until dues are cleared.
  • Any additional modules or add-ons activated after your initial subscription will be billed separately or pro-rata.
  • You are responsible for managing cancellations before the renewal date to avoid recurring charges.

6. Service Availability & Uptime

Synclo is designed for high availability. While we aim to maintain 99.5% uptime, occasional service interruptions may occur due to:

  • Scheduled maintenance or updates.
  • Emergency fixes or security patches.
  • Downtime from third-party service providers (cloud hosting, payment gateways).

We will notify all admins of scheduled maintenance windows in advance. Emergency outages will be communicated through in-app banners, email, or SMS alerts.

7. Intellectual Property

Synclo, including its name, logo, software code, designs, UX, and content, is the exclusive intellectual property of [Your Company Name].

  • You may not copy, modify, replicate, rent, resell, or reverse-engineer any part of the platform.
  • All documentation, training materials, and visual assets provided to clients remain the property of Synclo unless explicitly transferred in writing.
  • Any feedback, suggestions, or feature requests you submit may be used by Synclo without obligation.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information, including but not limited to:

  • Company salary structures, policy frameworks, and employee records.
  • Synclo’s platform architecture, pricing strategies, security configurations, and internal processes.

This confidentiality clause remains in effect for a period of 3 years even after termination of services.

9. Data Backup and Retention

Synclo performs automated encrypted backups at regular intervals to safeguard your data.

  • Backups are stored in geographically redundant locations and retained as per our data lifecycle policy.
  • In case of accidental deletion, Synclo may assist with restoration if the request falls within the backup retention window (usually 15–30 days).
  • Once the account is terminated and the data retention period lapses, data will be permanently deleted from both live servers and backups.

10. Termination

You may cancel your Synclo subscription at any time via your admin dashboard or by contacting support.

Upon termination:

  • Access will be revoked.
  • You’ll have a grace period (typically 30 days) to download all employee records and documents.
  • After that, Synclo will permanently delete all account-related data.

Synclo also reserves the right to terminate or suspend your account immediately if:

  • You violate these Terms.
  • Payment fails repeatedly.
  • Your actions pose a security or reputational risk to the platform.

11. Third-Party Services

Synclo integrates with external services (e.g., cloud storage providers, email/SMS gateways, financial systems) to deliver a seamless experience.

  • These services are subject to their own terms and privacy policies.
  • Synclo makes no warranties regarding the uptime, security, or data handling practices of third-party platforms.
  • We are not liable for damages resulting from their failure or misconfiguration.

12. Limitation of Liability

While we strive for excellence, Synclo shall not be liable for:

  • Indirect or consequential damages (e.g., loss of business, profits, or reputation).
  • Errors or delays caused by your users or improper configurations.
  • Regulatory or compliance penalties due to inaccurate data entered by your team.

In any case, Synclo’s total liability is limited to the amount you’ve paid us in the last 12 months of service.

13. Indemnification

You agree to indemnify and hold harmless Synclo, its officers, and employees from any third-party claims, damages, or legal proceedings resulting from:

  • Your misuse of the platform.
  • Any breach of these Terms.
  • Unlawful storage or handling of employee data.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of [Insert Applicable Jurisdiction, e.g., Pakistan or UAE]. Any disputes will be settled through:

  • Informal resolution via email or mediation.
  • Binding arbitration under applicable law if mediation fails.
  • Court proceedings only if arbitration is not applicable.
